Terms of Service

Effective Date: February 17, 2026 Last Updated: February 17, 2026 These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Merchant”, “you”, or “your”) and Headless Commerce (“Company”, “we”, “us”, or “our”) governing your access to and use of the Headless Commerce platform, including the API, Dashboard, SDK, CLI, and related services (collectively, the “Service”). By creating an account, accessing the API, or using any part of the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity.

1. Eligibility

You must be at least 18 years of age (or the age of majority in your jurisdiction) to use the Service. By agreeing to these Terms, you represent and warrant that you meet this requirement.

2. Service Description

Headless Commerce is a commerce-as-a-service platform that provides:
  • REST API — Storefront and Admin endpoints for products, orders, customers, inventory, carts, discounts, and more
  • Dashboard — A web-based admin panel for managing your store
  • TypeScript SDK — Client library for integrating with the API
  • CLI — Command-line tools for development and management
  • MCP Server — Model Context Protocol integration for AI-assisted commerce operations
  • Webhooks — Real-time event notifications
The Service is provided as a fully managed cloud platform (SaaS). All data is processed and stored on our infrastructure.

3. Account & Organization

3.1 Registration

To use the Service, you must create an account by providing a valid email address and password, or by authenticating through a supported OAuth provider (Google, GitHub). You agree to provide accurate and complete information and to keep it updated.

3.2 Organization Structure

Accounts are organized as follows:
  • Organization — The top-level entity representing your company or team
  • Store — One or more commerce stores within your Organization, each with isolated data
  • Team Members — Users invited to your Organization with assigned roles: Owner, Admin, Staff, or Viewer

3.3 Account Security

You are responsible for:
  • Maintaining the confidentiality of your credentials
  • Safeguarding your API keys — secret keys (sk_*) must never be exposed in client-side code; publishable keys (pk_*) may be used in frontend applications
  • All activity that occurs under your account
  • Promptly notifying us of any unauthorized access

4. Subscription Plans & Payment

4.2 No Transaction Fees

We do not charge transaction fees on any plan. Payment processing fees are charged directly by your payment provider (e.g., Stripe, TossPayments).

4.3 Billing

  • Subscriptions are billed monthly via Stripe
  • Charges are non-refundable except as required by applicable law
  • You authorize us to charge the payment method on file for recurring subscription fees
  • Failed payments may result in service suspension after a 7-day grace period

4.4 Overages

  • Order limits are enforced with a soft cap — we allow up to 120% of your plan limit before restricting new orders
  • Warning notifications are sent at 80%, 100%, and 120% of your limit
  • Existing order management (refunds, fulfillment) remains available even if limits are exceeded

4.5 Plan Changes

  • Upgrades take effect immediately with prorated billing
  • Downgrades take effect at the end of the current billing cycle
  • Free tier: test mode only — Live mode requires a paid plan

5. Data Ownership

5.1 Your Data

You retain full ownership of all data you submit to the Service (“Merchant Data”), including products, orders, customers, inventory, and store configurations. We claim no ownership rights over your Merchant Data.

5.2 License to Us

You grant us a limited, non-exclusive license to process, store, and transmit your Merchant Data solely for the purpose of providing and improving the Service. This license terminates when you delete your data or close your account.

5.3 Data Portability

You may export your data at any time via the API. Upon account termination, you have a 30-day window to export your data before it is permanently deleted.

6. Intellectual Property

6.1 Our IP

The Service, including the API design, Dashboard, documentation, and branding, is the intellectual property of Headless Commerce. These Terms do not grant you any right to use our trademarks, logos, or brand features without prior written consent.

6.2 Your IP

Your store content, product descriptions, images, and other materials you upload remain your intellectual property.

6.3 Open Source Components

Certain components of the Service (SDK, CLI) are released under open source licenses. Your use of those components is governed by their respective licenses in addition to these Terms.

7. Prohibited Activities

Your use of the Service is subject to our Acceptable Use Policy. Violations may result in suspension or termination of your account.

8. Third-Party Services

The Service integrates with third-party providers, including:
  • Payment Processors — Stripe, TossPayments (for processing customer payments)
  • Cloud Infrastructure — AWS, Cloudflare (for hosting and CDN)
  • Email — Resend (for transactional email delivery)
  • Error Monitoring — Sentry
We are not responsible for the availability, accuracy, or practices of third-party services. Your use of third-party services is subject to their respective terms and policies.

9. Service Level

9.1 Availability

We commit to reasonable efforts to maintain Service availability:
  • Free plan: No uptime commitment
  • Starter / Pro: 99.9% monthly uptime target
  • Enterprise: Custom SLA with defined remedies

9.2 Maintenance

Scheduled maintenance windows will be communicated at least 48 hours in advance via email and the Dashboard. Emergency maintenance may occur without prior notice.

9.3 Modifications

We may modify, update, or discontinue features of the Service. Material changes will be communicated with at least 30 days’ notice. If a change materially diminishes the Service, you may terminate your subscription.

10. Limitation of Liability

10.1 Cap

To the maximum extent permitted by law, our total aggregate liability arising from or related to these Terms or the Service shall not exceed the total fees you paid to us in the 12 months preceding the event giving rise to the claim.

10.2 Exclusions

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill.

10.3 Force Majeure

Neither party shall be liable for failure to perform due to causes beyond reasonable control, including natural disasters, war, terrorism, pandemics, government actions, or internet/infrastructure failures.

11. Indemnification

11.1 By You

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from: (a) your use of the Service; (b) your violation of these Terms or applicable law; (c) your Merchant Data or your end-customers’ use of your store.

11.2 By Us

We agree to indemnify you from claims that the Service itself infringes a third party’s intellectual property rights, provided you promptly notify us and cooperate in the defense.

12. Termination

12.1 By You

You may cancel your subscription and close your account at any time through the Dashboard. Upon cancellation:
  • You have 30 days to export your data via the API
  • After 30 days, all Merchant Data is permanently deleted
  • No refunds for remaining subscription time, except as required by law

12.2 By Us

We may suspend or terminate your account if you:
  • Violate these Terms or the Acceptable Use Policy
  • Fail to pay subscription fees after the grace period
  • Engage in activity that threatens the security or integrity of the Service
We will provide reasonable notice before termination, except in cases of egregious violations or legal obligations.

13. Governing Law & Dispute Resolution

13.1 General

These Terms shall be governed by and construed in accordance with the laws of the Republic of Korea, without regard to conflict of law principles.

13.2 Dispute Resolution

Any disputes arising from these Terms shall be resolved as follows:
  • Good faith negotiation for 30 days
  • If unresolved, binding arbitration under the rules of the Korean Commercial Arbitration Board (KCAB) in Seoul, Republic of Korea
  • The language of arbitration shall be English or Korean, as mutually agreed

13.3 Korean Consumer Protection

For Merchants located in the Republic of Korea, nothing in these Terms limits your rights under the 전자상거래 등에서의 소비자보호에 관한 법률 (Act on Consumer Protection in Electronic Commerce) or the 개인정보 보호법 (Personal Information Protection Act).

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email and Dashboard notification at least 30 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

15. General Provisions

  • Entire Agreement — These Terms, together with the Privacy Policy, DPA, and AUP, constitute the entire agreement between you and us.
  • Severability — If any provision is found unenforceable, the remaining provisions remain in effect.
  • Waiver — Failure to enforce any provision does not constitute a waiver.
  • Assignment — You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
